1. Acceptance of Terms
By registering, accessing, or using the ScaleVend platform ("Platform", "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use ScaleVend. These Terms apply to all sellers, administrators, and end users of stores powered by our Platform.
2. About ScaleVend
ScaleVend is a SaaS ecommerce platform that enables Indian small businesses to create and manage online stores. We provide tools for product management, order management, payments, shipping integration, and customer engagement — but we are not the seller of any product listed on individual stores. Each store owner is solely responsible for their catalog, pricing, and fulfilment.
3. Seller Accounts
- You must be at least 18 years old and legally able to enter into contracts under Indian law.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete registration information.
- You must not share account credentials or allow unauthorized access.
- ScaleVend reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. Acceptable Use
You agree not to use ScaleVend to:
- Sell prohibited, counterfeit, illegal, or harmful products
- Engage in fraudulent transactions or misrepresent products
- Violate any applicable Indian laws including the Consumer Protection Act, IT Act, or GST regulations
- Attempt to reverse engineer, hack, or disrupt the platform
- Harvest or scrape data from the platform without written permission
- Upload malicious code, spam, or content that infringes third-party intellectual property rights
5. Subscription & Billing
- ScaleVend is currently free during the early-access period. Pricing will be announced before any paid plan is activated.
- When paid plans are introduced, billing will occur on the cycle specified at signup (monthly or annually).
- Subscription fees are non-refundable except as described in our Refund Policy.
- We reserve the right to modify pricing with 30 days' notice to existing subscribers.
6. Payments & Transactions
- ScaleVend integrates with Razorpay to process online payments. All transactions are subject to Razorpay's terms and conditions.
- ScaleVend is not a payment aggregator and is not responsible for payment failures, chargebacks, or disputes between sellers and customers.
- Sellers are responsible for their own GST compliance and invoicing obligations.
7. Seller Responsibilities
As a seller using ScaleVend, you are solely responsible for:
- Accuracy of product listings, descriptions, images, and pricing
- Fulfilling orders placed through your store within promised timelines
- Handling customer complaints, returns, and refunds per your stated policies
- Ensuring product quality and compliance with applicable safety standards
- Maintaining adequate inventory or communicating unavailability promptly
8. Intellectual Property
- ScaleVend and its underlying technology, branding, and content are owned by us and protected by applicable IP laws.
- Sellers retain ownership of their product content and store data.
- By uploading content to the Platform, you grant ScaleVend a non-exclusive license to display and process that content as necessary to provide the Service.
- You must not use ScaleVend's branding, logo, or trademarks without prior written consent.
9. Data & Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.
10. Service Availability
We strive for high availability but do not guarantee uninterrupted service. ScaleVend may be temporarily unavailable due to maintenance, upgrades, or unforeseen technical issues. We are not liable for any losses arising from downtime.
11. Termination
Either party may terminate the account at any time. Upon termination, your store and data will be deactivated. You may export your data before termination. ScaleVend may terminate accounts immediately for violations of these Terms without refund.
12. Limitation of Liability
To the maximum extent permitted by Indian law, ScaleVend shall not be liable for indirect, incidental, punitive, or consequential damages arising from your use of the Platform. Our total liability in connection with any claim shall not exceed the subscription fees paid by you in the three months preceding the claim.
13. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through arbitration or courts of competent jurisdiction in India.
14. Changes to Terms
We may update these Terms at any time. Registered sellers will be notified of material changes via email at least 14 days in advance. Continued use after the effective date constitutes acceptance of the revised Terms.
